Wholesale Purchase Agreement

This Wholesale Purchase Agreement (“Agreement”) is entered into between the undersigned purchaser (“Purchaser”) and Event Horizon & Services (“EHS”) as of the date of execution.

1. Purpose
   The purpose of this Agreement is to establish terms for the wholesale purchase of products from EHS at wholesale/bulk/reseller pricing. It is expressly understood that this pricing structure is intended for bulk buyers. Sales are intended for direct resale of purchased products, contract installation of purchased products, or incorporation of purchased products into other products for resale or use of large quantities of products and an ongoing application. This is not intended to be a one-time purchase.
2. Pricing Levels
   Purchaser acknowledges and agrees to the following pricing levels:

• Retail: Available to all customers without the requirement of a contract.
• Wholesale: Intended for smaller buyers.
  • Requires a minimum annual commitment of $1000 ($250 opening order)
  • Shipping costs borne by the customer.
  • Payment is accepted via credit card or check, with terms granted only by special exception.
  • Orders may be placed via the website or through written purchase orders.
  • Tax is charged unless a signed sales tax-exempt form is provided.
• Bulk Wholesale: Intended for large volume sales.
  • Requires a minimum annual commitment of $5000 ($1000 opening order)
  • Shipping costs borne by the customer.
  • Payment is accepted via check only, with terms granted only by special exception.
  • Orders may be placed via the website or through written purchase orders,
  • Box quantity only (any quantity available at non-bulk pricing).
  • Tax is charged unless a signed sales tax-exempt form is provided.

1. Ordering Process
   Customer shall submit orders to EHS in writing, specifying the quantity, product details, delivery location, and any other relevant information, or place the order on the EHS website. EHS shall confirm receipt of the order and provide an estimated delivery date.
2. Pricing and Stock
   EHS’s website shall maintain accurate pricing for each purchaser’s designated level and provide stock information. If an item is not listed on the website, EHS shall endeavor to supply the item, subject to availability. If stock levels are insufficient to fulfill the order, EHS shall accept the order and confirm the availability before processing the order and payment. Quantity discounts are available for larger quantities, the specifics of which vary by item.
3. Multiple users can be set up on the site so that all orders will count toward the annual minimums. If minimus are not met, your account will automatically be bumped down to the appropriate price level.
4. Delivery and Shipping
   Customer shall be responsible for all shipping and handling costs unless pickup at a scheduled time is arranged.
5. Quality Control
   EHS provides a 30-day warranty, ensuring that all parts are defects-free and that all components are included with each connector/item. Defective parts must be returned with all pieces included, and any order shortages must be reported within 5 days.
6. Confidentiality
   The pricing provided under this Agreement is deemed confidential and may not be disclosed to any third party outside of the signing company.
7. Entire Agreement
   This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements, negotiations, and understandings, whether oral or written.
8. Terms
   Terms and pricing are subject to change without prior notice. Submission of this Agreement does not guarantee acceptance for wholesale pricing.
